1. General

1.1 These terms and conditions apply to all offers, quotations, agreements, and deliveries by Gavira Trading B.V. (hereinafter: "Gavira Trading"), a private limited company registered in the Netherlands.

1.2 These terms apply exclusively to business-to-business (B2B) transactions. Gavira Trading does not supply to consumers.

1.3 By placing an order or entering into an agreement with Gavira Trading, the client accepts these terms and conditions in full.

1.4 Any deviations from these terms must be agreed upon in writing and signed by an authorised representative of Gavira Trading.

2. Offers and Quotations

2.1 All quotations provided by Gavira Trading are non-binding and valid for a period of 7 days unless stated otherwise in writing.

2.2 An agreement is only concluded once Gavira Trading has confirmed an order in writing or has commenced fulfilment of the order.

2.3 Prices stated in quotations are exclusive of VAT and any applicable shipping, customs, or import costs unless explicitly stated otherwise.

3. Prices and Payment

3.1 All prices are in Euros (EUR) unless otherwise agreed in writing.

3.2 Payment must be made in full prior to shipment, unless a different arrangement has been agreed in writing.

3.3 In the event of late payment, Gavira Trading reserves the right to charge statutory commercial interest (wettelijke handelsrente) and to suspend or cancel the order.

3.4 Gavira Trading reserves the right to adjust prices in response to changes in purchasing costs, exchange rates, or other market conditions, and will notify the client in advance.

4. Orders and Delivery

4.1 Orders are dispatched within 24 hours of confirmed payment, subject to stock availability.

4.2 Delivery times are indicative and not guaranteed. Gavira Trading is not liable for delays caused by carriers, customs, or circumstances beyond its control.

4.3 Risk of loss or damage transfers to the client upon handover of the goods to the carrier.

4.4 The client is responsible for ensuring that the delivery address is correct and accessible. Additional costs resulting from failed delivery attempts are at the client's expense.

5. Products and Grading

5.1 All pre-owned devices are graded according to industry-standard criteria. The applicable grade will be specified in the order confirmation.

5.2 All pre-owned devices undergo a 50-point hardware and software diagnostic and are fully data-sanitised prior to dispatch.

5.3 Product specifications, including model, colour, and storage capacity, are as stated in the order confirmation. Minor cosmetic variations consistent with the stated grade are not considered defects.

5.4 New devices are sourced from authorised distributors and are supplied in original or equivalent packaging.

6. Returns and Complaints

6.1 The client must inspect all goods upon delivery and report any visible damage or shortages to Gavira Trading in writing within 48 hours of receipt.

6.2 Claims regarding hidden defects must be submitted in writing within 7 days of discovery, and no later than 30 days after delivery.

6.3 Returns are only accepted with prior written approval from Gavira Trading. Unauthorised returns will not be accepted and will be returned at the client's cost.

6.4 Gavira Trading's liability for defective goods is limited to replacement of the goods or a credit note, at Gavira Trading's discretion.

7. Liability

7.1 Gavira Trading's total liability for any claim arising out of or in connection with an agreement is limited to the invoice value of the goods giving rise to the claim.

7.2 Gavira Trading is not liable for indirect, consequential, or incidental damages, including loss of profit, loss of data, or business interruption.

7.3 Gavira Trading is not liable for damages resulting from incorrect or incomplete information provided by the client.

8. Force Majeure

8.1 Gavira Trading is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, strikes, government actions, or transport disruptions.

8.2 In the event of force majeure lasting more than 30 days, either party may terminate the agreement in writing without liability.

9. Intellectual Property

9.1 All content on the Gavira Trading website, including text, images, and design, is the property of Gavira Trading and may not be reproduced or used without prior written consent.

10. Confidentiality

10.1 Both parties agree to keep confidential any proprietary or commercially sensitive information received from the other party in the course of their business relationship.

11. Governing Law and Disputes

11.1 These terms and conditions are governed by the laws of the Netherlands.

11.2 Any disputes arising out of or in connection with these terms shall be submitted exclusively to the competent court in the Netherlands.

12. Changes to These Terms

12.1 Gavira Trading reserves the right to amend these terms and conditions. The most recent version will always be available on our website. Continued use of our services following any amendment constitutes acceptance of the revised terms.
